Welcome to HIVE.

HIVE is an online marketplace that connects customers, creators, and brands. Verified creators may be eligible to receive cashback on qualifying purchases after completing the applicable HIVE content and cashback requirements.

These Terms & Conditions govern your access to and use of the HIVE website, marketplace, products, creator program, cashback program, and related services.

By accessing HIVE, creating an account, purchasing a product, applying for creator verification, or participating in the cashback program, you agree to these Terms & Conditions and our Privacy Policy.

If you do not agree with these Terms, please do not use HIVE.

1. About HIVE

HIVE operates as a marketplace that allows participating brands and vendors to offer products to customers.

HIVE also provides a creator-focused cashback program through which eligible and verified creators may receive cashback after purchasing qualifying products and completing the applicable content requirements.

HIVE may provide the technology and marketplace through which transactions take place, while individual vendors remain responsible for their products, product descriptions, fulfillment, warranties, and applicable after-sales obligations.

2. Eligibility

To use HIVE, you must provide accurate and complete information and comply with applicable laws.

You must be legally capable of entering into a purchase transaction under applicable law.

Creator-specific benefits are available only to users who satisfy HIVE’s creator eligibility requirements.

Currently, the HIVE creator program is designed for Instagram creators with at least 1,000 followers, subject to verification.

Meeting the minimum follower requirement does not automatically guarantee creator approval.

HIVE reserves the right to approve, reject, suspend, or review creator applications based on its verification requirements.

3. HIVE Creator Verification

Creators who wish to participate in the cashback program must complete HIVE’s creator verification process.

During verification, HIVE may review publicly available information from the creator’s Instagram profile, including follower count.

Creators must provide truthful and accurate information.

You must not:

• Submit a false Instagram profile
• Misrepresent your follower count
• Use another person’s social media account
• Manipulate or falsify verification evidence
• Maintain multiple accounts for the purpose of abusing creator benefits
• Provide misleading information to HIVE

HIVE may periodically review creator information and may update, suspend, or revoke a creator’s verification status if the information is no longer accurate or if the creator violates HIVE policies.

4. Creator Tiers

Verified creators may be assigned a HIVE creator tier according to their verified follower count.

HIVE may use tier levels such as:

• Bronze
• Silver
• Gold
• Platinum

The follower ranges, tier benefits, and applicable cashback rates may be changed by HIVE from time to time.

Your current tier is determined by HIVE’s verification system and applicable rules at the relevant time.

5. Products and Vendors

Products listed on HIVE may be sold by independent brands or vendors.

Each vendor is responsible for:

• Product quality
• Product descriptions
• Product authenticity
• Availability
• Pricing
• Packaging
• Fulfillment
• Delivery
• Applicable warranties
• Compliance with applicable laws and regulations

HIVE may review or moderate product listings but does not manufacture the products sold by independent vendors.

Product images, descriptions, specifications, colors, sizes, and other information are provided for informational purposes and may occasionally contain errors.

If a product listing contains an obvious error, HIVE or the relevant vendor may correct the information or cancel the affected order where appropriate.

6. Product Prices

The price displayed on the product page at the time of purchase is the applicable purchase price, subject to availability and any clearly stated terms.

Prices may change from time to time.

Any promotional discount, cashback rate, campaign benefit, shipping charge, or other offer will be subject to the terms displayed for that particular product or campaign.

7. Placing an Order

When you place an order through HIVE, you are submitting a request to purchase the selected product.

An order confirmation does not necessarily guarantee that the product will be available or successfully fulfilled.

An order may be cancelled or rejected where reasonably necessary, including because of:

• Product unavailability
• Pricing or listing errors
• Suspected fraud
• Incorrect or incomplete customer information
• Vendor inability to fulfill the order
• Payment problems
• Violation of HIVE policies
• Other legitimate operational or legal reasons

Where an eligible paid order is cancelled, any applicable refund will be handled according to the HIVE Refund & Returns Policy.

8. Payment

Customers must pay the applicable purchase price using the payment methods made available by HIVE.

Unless specifically stated otherwise, cashback is not an instant discount at checkout.

Eligible creators must first complete the purchase and pay the applicable purchase amount.

Cashback, where applicable, is processed separately after the creator satisfies the relevant cashback requirements.

9. Cashback Program

The HIVE cashback program is available only to eligible verified creators and qualifying purchases.

Cashback eligibility may depend on:

• Your verified HIVE creator tier
• The product or campaign
• The type of content published
• Compliance with the campaign requirements
• The validity of the submitted content
• The applicable cashback rate
• Successful review and approval of your cashback claim

The cashback percentage displayed or applicable to a qualifying purchase is determined according to HIVE’s rules at the relevant time.

Different content types, such as Stories, Posts, and Reels, may have different cashback rates.

Cashback is not guaranteed merely because a creator has purchased a product.

10. Cashback Content Requirements

To receive cashback, an eligible creator must publish qualifying content that satisfies the applicable HIVE campaign requirements.

Depending on the campaign, eligible content may include:

• Instagram Story
• Instagram Post
• Instagram Reel
• Another content format specifically approved by HIVE

The content must genuinely relate to the purchased product and comply with the requirements communicated by HIVE.

Creators must not submit:

• Fake content
• Manipulated screenshots
• Fabricated engagement
• Content unrelated to the purchased product
• Content published from an account other than the verified creator account
• Previously used content where reuse is prohibited
• Content that violates applicable law
• Content that violates HIVE’s campaign requirements

11. Cashback Claims

After publishing qualifying content, an eligible creator may submit a cashback claim through the HIVE platform.

A claim may require:

• Order information
• Content type
• Content link or evidence
• Publication details
• Other information reasonably required for verification

HIVE may review each claim before approving cashback.

HIVE may reject a claim if the requirements have not been satisfied or if the claim appears fraudulent, incomplete, duplicated, or otherwise invalid.

Unless otherwise stated for a specific campaign, cashback claims must be submitted within the applicable HIVE claim period.

12. Cashback Rate and Purchase Locking

The applicable cashback rate is determined according to the creator’s eligible tier, content type, product, and campaign rules applicable to the purchase.

Once a qualifying purchase is placed, the applicable cashback information may be recorded against that order.

Changes to your creator tier or HIVE’s cashback rates after the purchase will not necessarily change the cashback terms applicable to that purchase.

The cashback ultimately paid will be based on the applicable rules and successful claim approval.

13. Cashback and Product Returns

Cashback is conditional on the underlying purchase remaining valid.

If an order or product is cancelled, returned, refunded, or otherwise becomes ineligible, the associated cashback claim may be cancelled or rejected.

If cashback has already been paid and the underlying purchase is subsequently refunded or reversed, HIVE may adjust, recover, or deduct the corresponding cashback amount where reasonably necessary and permitted by applicable law.

14. Cashback Does Not Transfer

Creator benefits and cashback eligibility are personal to the verified creator account.

You may not:

• Transfer your creator tier
• Transfer a cashback claim to another person
• Sell or exchange cashback eligibility
• Use another creator’s account to claim cashback
• Create multiple accounts to obtain additional creator benefits

15. Reviews and Creator Content

Creators are responsible for the content they publish.

Your content must not contain unlawful, defamatory, fraudulent, misleading, abusive, discriminatory, or infringing material.

You should provide genuine opinions and experiences about products.

Where required by applicable law or platform rules, creators are responsible for making appropriate disclosures regarding promotional relationships or incentives.

HIVE may review submitted content for cashback verification and policy compliance.

16. Account Suspension and Termination

HIVE may suspend, restrict, or terminate an account where reasonably necessary, including if:

• You violate these Terms
• You provide false information
• You engage in fraudulent activity
• You abuse the cashback program
• You manipulate creator verification
• You submit fraudulent cashback claims
• You interfere with the operation of HIVE
• You violate applicable law
• Your activity creates a security, legal, or operational risk

Where appropriate, HIVE may cancel pending cashback claims associated with a suspended or terminated account.

17. Intellectual Property

Unless otherwise stated, the HIVE website, brand name, logo, design, software, text, graphics, interface, and other HIVE-owned materials are protected by applicable intellectual property laws.

You may not reproduce, copy, modify, distribute, sell, reverse engineer, or commercially exploit HIVE-owned materials without appropriate authorization.

Product names, logos, images, and other materials belonging to vendors or brands remain the property of their respective owners.

18. Third-Party Services

HIVE may use third-party services for:

• Payment processing
• Delivery
• Hosting
• Analytics
• Authentication
• Communication
• Security
• Other marketplace functions

Your use of certain third-party services may also be subject to that provider’s terms and policies.

19. Limitation of Liability

To the extent permitted by applicable law, HIVE will not be responsible for losses arising from circumstances outside HIVE’s reasonable control, including vendor actions, courier delays, internet failures, third-party service interruptions, natural disasters, government restrictions, or other force majeure events.

Nothing in these Terms is intended to exclude or limit any liability that cannot legally be excluded or limited under applicable law.

20. Changes to These Terms

HIVE may update these Terms & Conditions from time to time.

Changes may be made to reflect:

• New services
• Changes to the marketplace
• Changes to the cashback program
• Operational improvements
• Changes in applicable law
• Other legitimate business requirements

Updated Terms will be published on this page with a revised effective date.

Your continued use of HIVE after an update constitutes acceptance of the revised Terms to the extent permitted by applicable law.

21. Governing Law

These Terms shall be interpreted and governed by the applicable laws of Bangladesh.

Any dispute relating to HIVE will be handled in accordance with applicable Bangladeshi law and the jurisdiction of the appropriate courts or authorities.
